We value your custom and we have a relaxed approach to most things, unfortunately we have to get the tโ€™s and cโ€™s out the way. Itโ€™s all just Tree Free paperwork!

Terms of Trade and Agreement for Green Century Operations NZ (otherwise referred to as GCO NZ t/a Tree Free NZ)

1. Orders

1.1 GCO NZ accepts orders from the customer only on the terms set out on this document.

1.2 Orders may be cancelled only if GCO NZ agrees in writing to the cancellation and the order has not been processed.

 

2. Delivery and Risk

2.1 You are responsible for insurance and risk to all goods already delivered by either a Tree Free Rep, GoSweetSpot or another courier.

2.2 Where you request any special/extra requirements for delivery, you will be responsible for the cost.

2.3 You do not have the right to possess goods until they are delivered to you or collected at a pre-organised location. Goods will be delivered to named person. For different agents, please confirm with GCO NZ before.

2.4 On receipt of goods (before signing) please check all boxes and quantities as per the consignment note or courier ticket. Any visible damage must also be noted at time of exchange and signature.

2.5 Please notify GCO NZ immediately (within 2 hours) of any discrepancies.

2.6 The courier companies will not accept any responsibility for any claims if you sign a clear POD (proof of delivery without any damage/discrepancies)

GCO NZ will decline any claims on damaged goods if the courier provides a clear POD.

2.7 GCO NZ will make every effort to ensure the goods reach you within the agreed time-frame and in the correct manner. However GCO NZ is not liable to you for any loss or damage arising as a direct result of delays or damage.

2.8 In the event that an order cannot be fulfilled due to lack of stock, we will advise you and give you an option of a back-order.

 

3. Price

3.1 Prices are subject to change without notice. GCO NZ will invoice goods at the current prices at the time you place your order.

3.2 All prices quoted are excluding GST and cost of delivery.

 

4.Payments and Property:

4.1 Unless there has been a prior arrangement with GCO NZ, all goods must be paid for upon order. Either by bank transfer, credit card or with cash on delivery.

4.2 Where GCO NZ has agreed to extend credit, you must pay in full without deduction or set-off by the 20th day of the month following the date of invoice. You will not be considered as paid until the payment has been fully cleared into GCO NZ bank account. Payment can also be made with direct debits.

4.3 Where you have agreed to Direct Debit, GCO NZ will provide you with a form to fill out, sign and return to us.

4.4 If your account becomes overdue, we have the right to place your account and any orders thereafter as non-supply or cash only basis depending on location.

4.5 Failure to settle the invoice within the agreed time frame will result in a interest fee of 2.5% per month compounded.

4.6 GCO NZ retains ownership of all goods until full payment has been made by the purchaser and received into the GCO NZ bank account.

4.7 Where GCO NZ believe that any collateral is at risk or that you are likely to breach any part of this agreement, GCO NZ or any associated agents may enter your premises to remove any goods still owned by GCO NZ.

4.8 In the event of failure of payment, all costs of collection and any associated court/attorney fees shall be paid for by the applicant.

 

5. Returns and Warranties.

5.1 GCO NZ will not accept return of goods, which are not faulty, unless prior arrangements have been made and agreed to.

5.2 Goods are subject to manufacturers warranties only. GCO NZ passes on the benefits of warranties to you or your customers, but will not be directly be liable to you under any warranty. Your customers may have additional rights under the Consumer Guarantee Act.

5.3 Where goods are subject to a return to base warranty, you are responsible for returning them to GCO NZ and may be responsible for additional costs (incl but not limited to) freight.

5.4 You will not be entitled to benefit the warranty if any fees/costs are overdue with GCO NZ.

 

6. Limitations of Liabiltiy

6.1 GCO NZ will not be liable for any losses of any kind or delay in supplying goods or services.

 

7. General Conditions

7.1 GCO NZ reserves the right to change any of the terms and conditions and will notify you in writing.

7.2 If GCO NZ fails to enforce any terms or to exercise its rights under these terms of trade at any time, GCO NZ has not waived its rights.

7.3 If any provision of these terms of trade is held to be invalid or unenforceable for any reason, the remaining provisions shall remain in full force and effect and the parties shall adjust their respective rights and obligations in accordance with the spirit and intent of the parties as shown by these terms of trade.

7.4 Your continued trading with GCO NZ indicates your acceptance of these terms.
